By registering an account, starting a free trial, purchasing a subscription, or accessing any part of the Platform, you represent and warrant that:

• You are at least 18 years of age;
• You possess the legal capacity and authority to enter into a binding agreement;
• All information you provide to AutoSpa is accurate, complete, and current; and
• You agree to comply with these Terms and all applicable laws of India.

If you register on behalf of a company, partnership, or other organization, you represent that you are authorized to bind that organization to these Terms.

AutoSpa is a cloud-based Software-as-a-Service platform designed to help automobile service businesses manage and grow their operations. The Platform's services include, without limitation:

AutoSpa provides software tools only. AutoSpa does not operate, own, supervise, or manage any automobile service business using the Platform. Each registered Business remains solely responsible for its own operations, employees, customers, pricing, invoicing, taxation, legal compliance, and the services it provides to its own customers.

Eligibility

To use AutoSpa, you must be at least 18 years old, operate or lawfully represent a legitimate automobile-related business, use the Platform solely for lawful business purposes, and not be prohibited from using online software services under applicable law. AutoSpa reserves the right to refuse registration or terminate any account that does not meet these requirements.

Registration Obligations

• All registration details provided must be true, accurate, and kept up to date;
• You are responsible for maintaining the confidentiality of your login credentials;
• You are responsible for all activity performed under your account; and
• You must notify AutoSpa immediately of any suspected unauthorized access or misuse.

AutoSpa is not liable for any loss, damage, unauthorized transaction, or data exposure resulting from a User's failure to protect its account credentials.

Each AutoSpa subscription is issued exclusively for a single registered Business. The following are strictly prohibited:

• Sharing a subscription with another business;
• Operating multiple businesses under a single subscription;
• Reselling, renting, or transferring an AutoSpa account; and
• Granting unauthorized third parties access to an account.

Free Trial Terms

AutoSpa offers a 15-day free trial for eligible new businesses. During the trial, access is subject to platform limitations, including but not limited to up to 200 customer records, up to 500 email communications, and other limits AutoSpa may set from time to time. After the trial ends, the account and its Business Data remain accessible, but the creation of new records and premium functionality may be restricted until a valid subscription is purchased. AutoSpa may modify trial limits, eligibility, or duration at its discretion and without prior notice.

Trial Abuse

The free trial is intended solely for genuine evaluation of the Platform. Creating multiple accounts to repeatedly obtain free trials is strictly prohibited. AutoSpa reserves the right to detect duplicate registrations, verify business ownership, reject suspicious registrations, and permanently block Users who misuse the trial system, without prior notice.

AutoSpa offers paid subscription plans with differing features and usage limits, as displayed on the official website. By purchasing a subscription, you agree to pay all applicable charges for your selected plan. Unless stated otherwise:

• Subscription fees are inclusive of applicable taxes currently charged by AutoSpa;
• Subscription fees may change in the future, with prior notice; and
• Existing subscribers continue at their current price for as long as the subscription remains active and uninterrupted. Cancellation, expiry, upgrade, or downgrade may cause then-current pricing to apply.

AutoSpa reserves the right to introduce new plans, discontinue existing plans, or modify plan features with prior notice.

Billing

All payments are securely processed through authorized third-party payment providers, including Razorpay. AutoSpa does not store debit card, credit card, UPI PIN, banking credentials, or other sensitive payment information. Subscription charges are displayed on the pricing page prior to payment; by completing payment, you authorize AutoSpa and its payment partner to process the transaction. AutoSpa may refuse or cancel any order where fraudulent, unauthorized, or suspicious payment activity is detected, and failure to complete payment may result in suspension or restriction of paid services.

Automatic Renewal (AutoPay)

AutoSpa subscriptions renew automatically. By enabling AutoPay, you authorize Razorpay to charge your selected payment method on each renewal date until the subscription is cancelled. As required under Reserve Bank of India (RBI) regulations, Razorpay may process a one-time authorization charge of ₹5 solely to set up the recurring payment mandate; this charge is governed by Razorpay and applicable banking regulations, not by AutoSpa.

Users are responsible for ensuring their payment method remains valid and adequately funded ahead of each renewal. AutoPay may be cancelled at any time through the subscription management options available on the Platform, before the next billing cycle. Cancelling AutoPay prevents future renewals only — it does not cancel the current billing period or entitle the User to a refund.

If a renewal payment fails for any reason — insufficient funds, an expired payment method, banking issues, or payment gateway failure — AutoSpa provides a 7-day grace period. During this period, existing Business Data remains secure, and the User may update its payment method or renew the subscription; however, certain premium features may be restricted.

All subscription payments made to AutoSpa are final. AutoSpa follows a strict no-refund policy. Once a payment has been successfully processed, it will not be refunded under any circumstances, including but not limited to:

• Change of mind or accidental purchase
• Partial usage of the subscription
• Failure to use the Platform
• Lack of technical knowledge or incorrect plan selection
• Business closure or employee resignation
• Dissatisfaction due to missing features
• Failure to cancel automatic renewal before the renewal date
• Suspension or termination arising from a violation of these Terms

AutoSpa reserves the absolute right to suspend, restrict, or permanently terminate any account, with or without prior notice, where AutoSpa reasonably believes a User has violated these Terms or engaged in conduct that may harm AutoSpa, its Users, or third parties. Grounds include, without limitation:

• Fraudulent payment activity or chargebacks initiated without valid grounds
• Sharing accounts between multiple businesses
• Creating multiple accounts to abuse the free trial
• Providing false business information or impersonating another party
• Unauthorized access attempts, hacking, or reverse engineering
• Copying, scraping, or reproducing AutoSpa software
• Distribution of malware or harmful code
• Illegal activity or sending spam through AutoSpa
• Abuse, threats, or harassment directed at AutoSpa staff or other Users
• Any other violation of applicable law

Termination does not relieve a User of any outstanding payment obligations. No refund is provided following suspension or termination.

Users must use AutoSpa responsibly, ethically, and in compliance with all applicable laws, and solely for legitimate business purposes. Users must not misuse the Platform or interfere with its normal operation. AutoSpa may monitor Platform usage solely for security, fraud prevention, system integrity, and service improvement.

Users shall not, directly or indirectly:

• Use AutoSpa for any unlawful purpose or in violation of applicable law
• Upload malicious software or viruses
• Attempt unauthorized access to any account or system
• Circumvent subscription limitations or bypass licensing restrictions
• Share login credentials with unauthorized persons
• Operate multiple businesses under one subscription
• Sell or redistribute AutoSpa services
• Copy or imitate AutoSpa's features, design, workflows, branding, or software
• Interfere with servers or network infrastructure
• Use bots or automated tools to abuse the Platform
• Collect customer information belonging to other businesses
• Misrepresent affiliation with AutoSpa
• Engage in activity that negatively affects platform performance or security

Violation of this Section may result in immediate account suspension without notice.

AutoSpa and all associated software, source code, databases, designs, user interfaces, graphics, logos, trademarks, workflows, and documentation are the exclusive property of AutoSpa or its licensors. Users shall not copy, reproduce, reverse engineer, decompile, or disassemble any component of the Platform; create derivative works; attempt to discover source code; remove copyright notices; sell, lease, sublicense, or distribute the Platform; or use AutoSpa's technology to develop competing software.

AutoSpa may provide tools for sending emails and other customer communications. The User is solely responsible for obtaining all necessary customer consents, ensuring compliance with applicable communication laws, maintaining accurate recipient information, and sending only lawful and relevant communications.

AutoSpa does not guarantee email delivery, inbox placement, delivery speed, spam-filtering outcomes, or the availability of third-party email providers, and is not liable for emails that are delayed, rejected, filtered, blocked, or marked as spam by third-party providers.

Data Ownership

All Business Data entered into AutoSpa — customer records, vehicle information, invoices, memberships, employee information, reports, service history, and business settings — remains the exclusive property of the respective Business. AutoSpa does not claim ownership of Business Data. By using the Platform, the User grants AutoSpa a limited, non-exclusive, revocable right to store, process, transmit, back up, and use such data solely to operate, maintain, secure, improve, and provide the Platform. This does not transfer ownership of the data to AutoSpa.

Privacy & Security

AutoSpa processes personal information only to provide its services, maintain account security, improve platform performance, process payments, deliver support, and communicate service updates. AutoSpa does not sell customer or business data to third parties. Full details are set out in the separate Privacy Policy.

AutoSpa implements commercially reasonable technical and organizational measures to protect Business Data; however, no internet-based service can be guaranteed completely secure. Users are responsible for protecting their own login credentials, restricting employee access, logging out of shared devices, and reporting suspected security incidents immediately. Users remain solely responsible for obtaining any customer consent required under applicable law before collecting or storing customer information within AutoSpa.

Where a subscription expires due to cancellation, failed payment, or completion of the free trial without renewal, the following schedule applies:

Deletion includes, without limitation: customers, vehicles, memberships, sales records, reports, employee records, CRM history, service history, uploaded data, and business settings. Once permanently deleted, this data cannot be recovered. AutoSpa is not liable for any loss resulting from permanent deletion after the retention period has expired.

AutoSpa integrates with trusted third-party providers to deliver certain features, including without limitation Razorpay, Firebase, Google Cloud Platform, email service providers, analytics services, and authentication providers. These services operate independently under their own terms and privacy policies. AutoSpa is not responsible for third-party outages, payment gateway failures, email delivery failures, cloud infrastructure downtime, banking delays, or API changes made by third-party providers. Users acknowledge that certain Platform features depend on these third-party services.

Service Availability

AutoSpa is provided on an "as available" and "as is" basis. While AutoSpa continuously works to maintain stability, performance, and security, it does not guarantee continuous availability, uninterrupted operation, error-free functionality, compatibility with every device or browser, or immediate bug resolution. Scheduled maintenance, updates, emergency fixes, infrastructure upgrades, or circumstances beyond AutoSpa's control may temporarily affect availability.

Force Majeure

AutoSpa is not liable for any delay, interruption, or failure in providing services caused by events beyond its reasonable control, including natural disasters, floods, earthquakes, fires, war, terrorist activity, government action, internet backbone failures, cloud infrastructure outages (including Firebase, Google Cloud, and Razorpay), banking failures, power failures, network disruptions, cyberattacks, or pandemic-related disruptions. AutoSpa will make reasonable efforts to restore services as soon as practicable following such events.

To the maximum extent permitted by applicable law, AutoSpa shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use or inability to use the Platform, including but not limited to loss of profits, revenue, or business opportunities; business interruption; loss of customers or goodwill; incorrect invoices; data corruption or loss; employee errors; or failures of the internet, payment gateways, cloud providers, or third-party software.

You agree to defend, indemnify, and hold harmless AutoSpa, its owners, developers, employees, contractors, affiliates, and representatives from and against any claims, liabilities, losses, damages, expenses, legal costs, or demands arising from: your violation of these Terms; misuse of the Platform; violation of applicable law; infringement of third-party rights; incorrect customer data; illegal business activity; or communications sent using AutoSpa. This obligation survives termination of your account.

AutoSpa continuously improves its services and reserves the right to add new features, modify existing functionality, improve security, fix bugs, remove obsolete features, and introduce or discontinue subscription plans. Where reasonably practicable, material changes affecting Users will be communicated in advance. AutoSpa is not liable for inconvenience resulting from platform improvements or updates.

AutoSpa reserves the right to modify these Terms at any time. Updated Terms take effect upon publication on the official website unless otherwise specified. Continued use of AutoSpa after the effective date constitutes acceptance of the revised Terms. Users who do not agree with the updated Terms must discontinue use of the Platform.

These Terms are governed by and construed in accordance with the laws of India. Any dispute, claim, or legal proceeding arising out of or relating to these Terms or the use of AutoSpa shall be subject to the exclusive jurisdiction of the competent courts located in Belagavi, Karnataka, India.

Severability

If any provision of these Terms is found by a competent court to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Failure by AutoSpa to enforce any provision of these Terms shall not constitute a waiver of that or any other right or provision. Any waiver is effective only if made in writing.

Entire Agreement

These Terms, together with the Privacy Policy, the Return, Refund & Cancellation Policy, and any other legal notices published by AutoSpa, constitute the complete agreement between AutoSpa and the User regarding use of the Platform, and supersede all prior communications, understandings, or agreements relating to the services.
